Ynot Studios Ltd – Terms & Conditions
These Terms & Conditions apply to all services provided by Ynot Studios Limited ("Ynot Studios", "the Agency"). By engaging Ynot Studios, the Client agrees to the following terms.
1. Introduction
Ynot Studios provides video production, animation, content creation, design and social media services. These terms are designed to ensure a clear and collaborative working relationship between the Agency and its clients.
2. Quotations, Proposals & Scope of works
All work will be outlined and agreed in advance via proposal, quotation or written confirmation.
Quotations are valid for 30 days unless otherwise stated.
The agreed scope of work will be defined within each project, proposal or quotation. Any additional work, amends or requests outside of the agreed scope may be quoted and charged separately.
3. Fees & payment
Invoices will be issued as agreed and are payable within 30 days of receipt.
Unless otherwise agreed in writing, Ynot Studios reserves the right to request a deposit prior to commencing work or confirming production dates.
Final deliverables may be withheld until all outstanding invoices have been settled.
4. Late payment
Ynot Studios reserves the right to charge interest on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
The Agency reserves the right to pause work, withhold deliverables, or suspend services until outstanding payments have been received in full.
Ynot Studios cannot be held responsible for any delays or impact on delivery resulting from late payment.
5. Production & scheduling
Production dates will be agreed in advance with the Client.
Where production involves filming, animation or other scheduled activity, changes or rescheduling may incur additional costs, particularly where crew, equipment, locations, travel or third-party services have already been booked.
6. Cancellation
If a project is cancelled or postponed, Ynot Studios reserves the right to charge for any work completed and costs incurred up to that point.
Where production dates, crew, equipment, locations or third-party services have been booked, Ynot Studios reserves the right to recover any costs incurred and charge for work completed up to the date of cancellation.
Where production time has been reserved exclusively for the Client, Ynot Studios reserves the right to charge for any resulting loss of production time caused by cancellation or postponement.
7. Revisions
Ynot Studios will work collaboratively with the Client to ensure deliverables meet expectations.
Unless otherwise agreed, up to two rounds of revisions are included within the agreed fee. Additional revisions or significant changes to the agreed concept may be charged separately.
Timely feedback is required to maintain agreed timelines. Delays in feedback may result in adjusted delivery schedules.
8. Deliverables
Final deliverables will be supplied in the formats outlined within the relevant proposal, quotation or agreement.
Any additional formats, exports, versions, cutdowns, translations, subtitle files or deliverables requested outside of the agreed scope may be subject to additional charges.
9. Intellectual property
Final deliverables will be owned by the Client upon full payment.
Unless otherwise agreed, raw footage, project files, working files and editable source files are not included within the agreed deliverables and remain the property of Ynot Studios.
These may be supplied at an additional cost, subject to agreement between both parties.
Ynot Studios retains the right to use completed work for portfolio, marketing, award submissions and promotional purposes unless otherwise agreed in writing.
10. File retention
Ynot Studios will retain project files and raw footage for a reasonable period following project completion.
Long-term storage of footage, project files and working files is not guaranteed unless agreed in writing. Clients are encouraged to request any required files within a reasonable period following project completion.
11. Client responsibilities
The Client agrees to provide clear direction, timely feedback and access to any required information, locations, personnel or materials necessary to deliver the agreed services.
The Client is responsible for ensuring the accuracy of all content, messaging and materials supplied to Ynot Studios.
Ynot Studios cannot be held responsible for any issues arising from incorrect, incomplete or delayed information supplied by the Client.
12. Confidentiality
Both parties agree to keep confidential any sensitive or proprietary information shared during the course of a project and not disclose such information to any third party without prior consent.
13. Liability
Ynot Studios will carry out all services with reasonable skill and care.
Ynot Studios cannot be held responsible for any indirect, consequential or commercial losses arising from the use of its services, including loss of revenue, profits, business opportunities or anticipated savings.
The Agency's total liability in relation to any project or service shall not exceed the total fees paid by the Client for that project or service.
14. Governing law
These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.
